The right structure for your plans

Individual Entrepreneur or LLC?

Your activity, clients, partners and plans for growth shape the answer. We explain the differences before you register.

01 / Individual Entrepreneur

A business you run personally

An IE is a straightforward way to carry on business in your own name. We check whether it suits your activity and tax position.

  • Registration in your own name, without creating a separate company.
  • Assessment of eligibility for Small Business Status.
  • Personal liability and reporting obligations explained before you start.

02 / Limited Liability Company

A company for one or more owners

An LLC is a separate legal entity that can have one or more owners. We prepare a structure and founding documents that reflect how you will work.

  • Ownership shares, management and decision-making clearly defined.
  • Founding documents and agreements tailored to your business.
  • Company obligations and the limits of liability explained.

Understand your tax position

Understand your taxes before you register

We look at how you will earn income, where you will work and which obligations apply.

For eligible IEs

Could the 1% regime apply?

Eligible Individual Entrepreneurs may qualify for Georgia's 1% Small Business tax regime. The status requires a separate application; your activity and income must meet its conditions.

For an LLC

Plan company taxation

We explain the tax treatment of the company, payments to owners and employees, and whether a special status is relevant to your business.

For both structures

Know what to file and when

We assess VAT and other obligations separately, help organise tax account access and explain the records and returns you will need.

Working across borders? The location of your clients alone does not determine your tax position. Your activity, the source of income and your country of tax residence may all matter.

A clear document checklist

Know what to prepare before you apply

We give you a checklist for your chosen structure and registration route. These are the main items we will discuss.

The starting point

Identity, address and contact details

  • Passport or identity documents, with Georgian translations where required.
  • A registered address in Georgia and the necessary owner's consent.
  • Contact details, including a Georgian mobile number and email for the relevant accounts.
Depending on your setup

Company or representative documents

  • For an LLC: founders' details, ownership shares, charter and director documents.
  • For a foreign corporate founder: its corporate and authorisation documents.
  • For registration through a representative: a properly prepared power of attorney.

Register from abroad

Not in Georgia yet?

We can support registration through a representative acting under a power of attorney. We explain how to prepare your documents, including translation, notarisation and any apostille or legalisation required.

Bank onboarding is a separate process and may require your presence in Georgia. We help you plan for it before you choose the remote route.

Your registration questions, answered

Have a different question? Send us a short description of your plans.

Ask our team
Can a foreigner register an IE or LLC?

Yes. Georgian registration procedures allow foreign individuals and, for companies, foreign corporate founders. We review the documents, ownership and any requirements specific to your activity.

Does registering an IE automatically give me the 1% rate?

No. Small Business Status is separate from IE registration and is available only where the conditions are met. Some activities and income types are excluded. We assess eligibility before applying and explain the ongoing obligations.

How long does registration take?

The Public Registry offers standard processing in one working day for a complete application, with expedited processing available on the day of filing. Document preparation, tax steps and banking have separate timelines. We confirm the practical schedule for your case.

How much will it cost?

The total depends on IE or LLC, the documents, translations, notarial formalities, registration speed and the services you need. We confirm our fees and the applicable third-party costs before starting.

Can everything be completed remotely?

IE or LLC registration can be handled through an authorised representative. The documents needed depend on where they are issued. A bank may require additional checks or an in-person visit, so we discuss banking separately.

Can I start working as soon as I register?

Registration, the right to work and residence status are separate matters. Depending on your circumstances, work authorisation or activity-specific permissions may apply. We check the requirements and any relevant exceptions for your plans.

Can you help after registration?

Yes. JUST Advisors also provides accounting, tax return support, contract drafting and ongoing legal services. We can agree the support your business needs as it starts operating and grows.
